Terms of Service

Lumipact is a contract management platform operated by Lumipact LLC, a company registered in New Mexico, United States, with its registered address at 500 4th St NW, Suite 102 #1378, Albuquerque, NM 87102, United States. References to "Lumipact", "we", "us", or "our" in these Terms refer to Lumipact LLC.

By creating an account or using the Lumipact platform (app.lumipact.com) you agree to these Terms. If you are using Lumipact on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

Lumipact provides a cloud-based workspace for storing, tracking, and managing commercial contracts. Core capabilities include document storage, AI-assisted data extraction, renewal alert notifications, counterparty management, role-based access control, and spend reporting.

We are not a law firm and do not provide legal advice. Lumipact is an operational tool — it does not draft, review, or validate contracts for legal sufficiency. Any decisions based on information in Lumipact remain your responsibility.

• You must be at least 18 years old and have legal capacity to enter into contracts.
• Accounts are for business use. You may not use Lumipact for personal, household, or consumer purposes.
• You are responsible for keeping your login credentials secure. Notify us immediately at legal@lumipact.com if you suspect unauthorised access.
• Each account belongs to a single tenant (organisation). You may invite teammates to your tenant under your plan's user limits.
• We may suspend or terminate accounts that violate these Terms.

You agree not to:

• Use Lumipact to store or process content that is unlawful, defamatory, or infringes third-party intellectual property rights.
• Attempt to reverse-engineer, decompile, or extract the source code of the platform.
• Use automated scraping, bots, or scripts to access the platform in a way that impairs its operation.
• Resell, sublicense, or white-label access to the platform without written permission.
• Upload malware, viruses, or any code designed to damage or interfere with systems.

Lumipact is offered on a subscription basis. Pricing, plan limits, and billing cycles are detailed on the pricing page (lumipact.com/pricing). All prices are shown excluding VAT unless stated otherwise. VAT is applied at the rate applicable in your jurisdiction.

• Payments are processed by Stripe, Inc. By subscribing, you authorise Stripe to charge your payment method on the billing cycle you selected.
• Monthly subscriptions renew automatically each month. Annual subscriptions renew each year.
• You can cancel your subscription at any time from the Billing section in your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
• We do not offer pro-rata refunds for unused time within a billing period, except where required by applicable law.
• We reserve the right to change pricing with at least 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.

We may offer a free plan or trial period at our discretion. Free plans may have lower contract limits, reduced feature access, or other restrictions. We reserve the right to modify or discontinue free plans at any time with reasonable notice.

You retain full ownership of all contracts, documents, and data you upload to Lumipact. We do not claim any rights over your content.

• You grant us a limited licence to store, process, and display your content solely to provide the service.
• We use AI models to extract structured data from documents you upload. Extracted data remains part of your account and is not shared with other tenants.
• You can export all your data at any time from account settings. On plan cancellation or account deletion, your data is retained for 30 days and then permanently deleted.
• We act as a data processor on your behalf. Our data processing terms are set out in the Data Processing Addendum (lumipact.com/dpa).

Lumipact and all platform components — including software, design, trademarks, and documentation — are owned by Lumipact LLC or its licensors. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the platform as described.

If you provide feedback, suggestions, or feature requests, you grant us the right to use that input to improve the platform without compensation or attribution obligation.

We aim to maintain high availability but do not guarantee any specific uptime percentage. We may perform scheduled maintenance with advance notice where possible. Unplanned outages will be communicated through our status channels.

We are not liable for losses caused by downtime, service interruptions, or data unavailability beyond the liability limits described in Section 11.

Each party agrees to keep the other's confidential information (including contract data, pricing, and account configuration) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

To the fullest extent permitted by applicable law, Lumipact's total liability to you for any claim arising under or in connection with these Terms shall not exceed the fees you paid to us in the three months preceding the event giving rise to the claim.

We are not liable for: indirect or consequential losses; loss of profit, revenue, or contracts; data loss beyond what can be recovered from our backups; or losses caused by third-party services (including Stripe, Supabase, or Resend).

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

You agree to indemnify and hold harmless Lumipact LLC and its employees from any claims, damages, or costs (including legal fees) arising from your use of the platform in violation of these Terms or applicable law, or from content you upload that infringes third-party rights.

Either party may terminate these Terms at any time. You may cancel your subscription in account settings. We may terminate your account with written notice if you materially breach these Terms and fail to cure the breach within 14 days of notice.

We may also suspend or terminate accounts immediately if we determine there is a risk to platform security, other customers' data, or legal compliance.

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Continued use of Lumipact after that date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of New Mexico, United States. Any disputes that cannot be resolved amicably will be subject to the exclusive jurisdiction of the state and federal courts located in Bernalillo County, New Mexico.

If you are a consumer (notwithstanding Section 3), mandatory consumer protection laws in your country of residence may apply regardless of this choice of law.
